These terms set the shared rules for website, ecommerce, system, repair, optimisation and care work supplied by Ernest K, sole trader. Your proposal supplies the exact job, price and timetable.

Before work starts
The exact job is written down before money moves.
- The proposal identifies the deliverables, exclusions, price and intended timing.
- A 50% initial payment normally books the work and forms the agreement.
- Known third-party costs are shown separately before they are committed.
While it is being built
You see the work, answer decisions and keep the schedule moving.
- Ernest works with reasonable care and skill against the agreed scope.
- You provide accurate content, access, approvals and lawful assets when needed.
- A new request is estimated before it becomes extra chargeable work.
At launch and handover
Test the agreed route, approve it and receive control.

- The remaining 50% is normally paid at the agreed launch and sign-off milestone.
- After full payment, the project files, access and client-owned accounts are handed over.
After the website is live
A defect is corrected. A new request is a new decision.
- Report a build defect within 30 days so it can be checked and corrected promptly.
- New content, features and changes made by others are outside the completed scope.
- Ongoing care is optional and never required to keep ownership of the website.
What you are agreeing to
The proposal is the specification. These terms are the guardrails.
A contract is formed when the written proposal is accepted and the required initial payment is received, unless the proposal states a different trigger. An email approval counts as writing.
Marketing pages and guide prices help the first conversation, but they are not a promise that every feature, price or date applies to a particular project.

The working rules on this page, incorporated by the proposal.
External provider
Its licence, price, privacy, acceptable-use and service rules apply to its product.
Payment follows progress
Half starts it. Half completes it.
The standard split is simple. A larger, phased or ongoing job may use different milestones, which will be written in its proposal.
Prices Quoted in pounds sterling. Ernest is not VAT registered, so VAT is not added.
Invoices Due within 14 days unless the proposal or invoice states otherwise.
Late payment Work and handover may pause while an undisputed invoice is overdue. Statutory interest and recovery costs may be claimed on qualifying business debts.

It does not match the agreed scope
Check and correctErnest checks the approved scope and the reproducible behaviour. If the supplied work does not match what was agreed, the correction is included. This does not reduce any statutory right.

Content, access or approval is late
Schedule movesDates depend on both sides providing what the proposal requires. After 14 days without a needed response, Ernest may pause the project and offer the next available restart date. Any new cost must still be agreed first.

Ownership without lock-in
You control the finished website. Licences keep their labels.
After full payment, the client receives the bespoke project work and the access needed to operate or move it. WordPress, open-source software and third-party products remain subject to their existing licences.
Ernest may retain general know-how, methods and reusable tools that were not created exclusively for the project. This does not permit reuse of the client’s confidential information, identity or supplied content.

There is no licence switch controlled by Ernest that disables a fully paid website, and no compulsory care contract.
A two-sided project
Good work needs clear inputs from both sides.
Build and communicate
- Perform the service with reasonable care and skill.
- Work against the agreed scope and make material unknowns visible.
- Keep the client informed about material risks, delays or decisions.
- Protect access and confidential information with reasonable care.
- Back up a recoverable version before risky repair work where reasonably possible.
Supply and decide
- Provide accurate information, working access and timely decisions.
- Own or have permission to use supplied text, images, data and branding.
- Check factual, legal and sector-specific content before approval.
- Keep independent copies of important content, records and credentials.
- Use the delivered website lawfully and maintain external accounts and fees.
Care, not invented certainty
The service is promised. A market result is not.
The work will be carried out with reasonable care and skill and should match the accepted proposal. Outcomes controlled by audiences, search engines, advertising platforms, external suppliers or future software changes cannot be guaranteed.
No ranking or revenue guarantee
Search position, traffic, enquiries, bookings and sales depend on factors beyond a website build.
No third-party uptime guarantee
Hosting, domains, payment providers, APIs, plugins and platforms can change, fail or withdraw features.
AI output needs review
Generated content or data may be incomplete or wrong. The agreed human review and approval route still applies.
Please report a suspected build defect within 30 days of launch or delivery so the original build can be checked promptly. A genuine scope mismatch will be corrected without a new project fee. This reporting request does not shorten any right that cannot legally be shortened.
01Scope, timing and acceptance
The proposal defines what Ernest will deliver and any client dependencies. Dates are good-faith estimates unless the proposal expressly makes a date binding. Both sides will communicate promptly about a material delay.
The client reviews staged work and gives clear, consolidated feedback. Sign-off means the agreed deliverables have been accepted, subject to defects that were not reasonably visible during review and rights that cannot be excluded.
02Cancellation, suspension and ongoing care
Either side may end an agreement for a serious breach that is not corrected within 14 days after written notice. Ernest may suspend work sooner where continuing would be unlawful, unsafe, abusive or dependent on an overdue undisputed payment.
A client may also cancel for convenience by email. The final account covers work completed and committed, non-cancellable external costs. Any unused client payment is returned. Usable paid work is supplied after outstanding amounts are settled.
Optional care may be cancelled by email. The current proposal or invoice determines the paid service end date and any final scheduled work. Cancellation does not remove the client’s ownership or access.
03Third-party services and running costs
External services include hosting, domains, payment processors, marketplaces, plugins, fonts, email providers, CRMs, APIs and AI models. Their supplier controls its own terms, pricing, availability and data handling.
Known paid services are identified before commitment and are normally held in the client’s own account. Ernest does not add a percentage to transactions or mark up metered AI usage. The client remains responsible for approved provider charges and keeping those accounts active.
If a provider changes or removes a service after delivery, adapting the website is new work unless ongoing coverage was expressly included.
04Confidentiality, access and personal data
Each side will use the other’s confidential information only to discuss, deliver, receive or enforce the work, and will protect it with reasonable care. Disclosure is allowed where law requires it or to a necessary professional adviser or service provider under an appropriate duty.
The client authorises the access reasonably needed for the project and should remove obsolete access after handover. Personal information sent through this website is handled under the Privacy notice. A project that requires Ernest to process personal data for the client may need a separate data-processing schedule.
05Liability and events outside control
For a business contract, neither side is liable for indirect or consequential loss. Ernest is not liable for lost profit, revenue, opportunity or anticipated saving, or for a failure caused by the client, an external supplier or use contrary to written guidance.
Subject to liabilities that cannot lawfully be limited, Ernest’s total liability arising from a project is limited to the fees paid for that project. For ongoing care, it is limited to the fees paid for that service in the preceding 12 months.
Nothing excludes liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence, and nothing limits a right or liability where the law does not allow it.
Neither side is responsible for delay caused by an event reasonably outside its control, provided it communicates the effect and takes reasonable steps to reduce it. If the interruption continues for more than 30 days, either side may end the affected work and settle what has already been delivered or committed.
06Disputes, notices and general terms
Raise a concern by email with the project, the expected outcome and the requested remedy. Both sides will first try to resolve it directly and may agree to mediation before court proceedings.
The agreement is governed by the law of England and Wales and the courts there have jurisdiction, except where mandatory consumer law says otherwise.
Neither side may transfer the agreement without the other’s written consent, except as part of a genuine transfer of its business. A delayed enforcement is not a waiver. If one clause is unenforceable, the remaining clauses continue.
The proposal and these incorporated terms contain the agreement about the project and replace earlier discussions about the same scope. A project change must be agreed in writing. A later website update to these terms does not silently rewrite an agreement already in force.

Ernest K supplies the services as a sole trader trading as Advanced Web Designer. Email is the preferred route for approvals, change requests, cancellation and formal project notices.
